Ok. I matched /proc/sys/fs/file-max (i.e 1,000,000) to the "max open files" parameter in smb.conf. This did the trick. Apparently an application on a CIFS client (running WINXP) opens many, many files. I appreciate your help.
I had this problem also with a rogue XP client and Microsloth Outlook. Fixed by upgrading to 3.0.29 without altering any file system parameters.
I do not know what the default max open files param is but I do not have that set in my smb.conf, and cat /proc/sys/fs/file-max yields 50776.
